Terms of Service

The short version: You buy FathomSQL once for $49. You get a perpetual license to use the version you purchased on one Mac. You have 14 days to request a full refund, no questions asked. We don't host your data — it stays on your Mac.

1. Introduction and Acceptance

These Terms of Service ("Terms") form a legally binding agreement between you and Durandal ("we", "us", or "our"), the developer of FathomSQL. By downloading, installing, or using FathomSQL, you confirm that you have read these Terms and agree to be bound by them.

We may update these Terms from time to time. Material changes will be communicated via email to the address associated with your purchase, or via a notice on our website. Continued use of FathomSQL after changes are posted constitutes acceptance of the updated Terms.

2. Description of FathomSQL

FathomSQL is a native macOS application for managing and exploring PostgreSQL databases. It connects directly from your Mac to your PostgreSQL server — no cloud intermediary, no data passing through our servers. Features include table browsing, data filtering and editing, query performance analysis powered by pg_stat_statements, index health monitoring, cache rate analysis, and ER diagram generation.

FathomSQL is designed for professional use. It should not be your only mechanism for database administration. Always maintain independent backups of your data.

3. Eligibility

FathomSQL is intended for developers, database administrators, and technical professionals aged 16 and over. If you are using FathomSQL on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

4. Purchase and Licensing

4.1 One-Time Purchase

FathomSQL is sold as a one-time purchase at the price listed on our website. There are no recurring subscription fees. Your payment grants you a perpetual license to use the version of FathomSQL current at the time of purchase, subject to these Terms.

4.2 Payment Processing

All payments are processed by LemonSqueezy, who acts as the Merchant of Record for all transactions. By completing a purchase you also agree to LemonSqueezy's Terms of Service. We receive your email address and purchase confirmation; we never access your full payment card details.

4.3 License Delivery

Your license will be delivered to the email address you provide at checkout. Keep this email safe — it identifies your purchase. If you lose access to it, contact us at support@durandal.ai.

5. Refund Policy

5.1 14-Day Refund Window

You have 14 calendar days from the date of purchase to request a full refund. To request a refund, email support@durandal.ai with your purchase email address. Refunds are issued to the original payment method via LemonSqueezy.

5.2 After 14 Days

We do not issue refunds after the 14-day window, for any reason including partial use or dissatisfaction with features. If you're unsure whether FathomSQL suits your workflow, we encourage you to try the free trial before purchasing.

5.3 Abuse Prevention

We reserve the right to decline refund requests from accounts that show patterns of repeated purchase-and-refund cycles.

5.4 EU/EEA Consumers — Right of Withdrawal

The 14-day refund period satisfies the right of withdrawal under the EU Consumer Rights Directive (2011/83/EU). By requesting immediate access to the software after purchase, you acknowledge that you may lose your right of withdrawal once the digital content has been fully provided and you have confirmed this. If you have not yet downloaded or activated the software, your full right of withdrawal applies.

6. Software License

6.1 License Grant

Upon purchase, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use FathomSQL on one (1) Mac per license purchased, solely for your personal or internal business use.

We may release updates, patches, and bug fixes at our discretion. Minor updates within the purchased major version are provided at no additional cost. Major new versions may be released as separate paid products. We are not obligated to continue developing or maintaining FathomSQL or to maintain backward compatibility.

8. Intellectual Property

8.1 Our Property

All intellectual property rights in FathomSQL — including the application, website, documentation, algorithms, user interface design, branding, and logos — belong to Durandal. "FathomSQL" and related marks are trademarks of Durandal. You may not use our trademarks without our prior written consent.

8.2 Your Data

You retain full ownership of your databases, connection configurations, and any data you access through FathomSQL. We claim no rights over your data.

8.3 Feedback

If you submit feedback, feature requests, or bug reports, you grant us the right to use that feedback to improve FathomSQL without any obligation to compensate you.

9. Privacy

Our collection and use of your personal data is described in our Privacy Policy, which forms part of these Terms.

10. Third-Party Services and Connections

FathomSQL connects to PostgreSQL databases that you specify. We are not responsible for the availability, security, or content of any database or server you connect to. You are solely responsible for ensuring you have appropriate authorisation to access any database you connect to using FathomSQL.

Some features (such as query performance analysis) require the pg_stat_statements extension. FathomSQL may detect whether this extension is available and guide you through installation, but we make no warranty that such extensions will be available on your server or that your hosting provider permits their use.

11. Acceptable Use

You agree not to use FathomSQL:

Violations may result in immediate termination of your license without refund, and may be reported to applicable law enforcement.

12. Disclaimer of Warranties

FathomSQL is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. To the fullest extent permitted by applicable law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that FathomSQL will be uninterrupted, error-free, or free of security vulnerabilities, or that any particular feature will remain available.

EU/EEA and UK consumers: Nothing in this disclaimer affects your statutory rights under applicable consumer protection law. Mandatory protections apply regardless of this disclaimer.

Australian consumers: Nothing in this disclaimer excludes any guarantee, right, or remedy under Australian Consumer Law.

13. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability to you for any claim arising from or relating to FathomSQL shall not exceed the amount you paid for your license. We are not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, loss of profits, or business interruption, even if we have been advised of the possibility of such damages.

EU/EEA and UK consumers: These limitations do not apply to liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under mandatory applicable law.

14. Indemnification

You agree to indemnify and hold harmless Durandal from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of FathomSQL in violation of these Terms, your violation of any law, or your infringement of any third-party rights. This obligation applies to the extent permitted by applicable law, and does not override mandatory consumer protections for EU/EEA or UK consumers.

15. Service Availability and Modifications

Because FathomSQL is a local Mac application, its core functionality does not depend on our servers being online. However, features that require network access (such as license activation or software updates) may be unavailable if our servers are undergoing maintenance or are otherwise unreachable.

We reserve the right to modify or discontinue any feature of FathomSQL at any time. We are not liable for any interruption caused by maintenance, force majeure events, third-party failures, or factors outside our reasonable control.

16. Termination

16.1 By You

You may stop using FathomSQL at any time by deleting the application. Stopping use does not entitle you to a refund outside the 14-day window.

16.2 By Us

We may terminate your license immediately and without notice if you materially breach these Terms, engage in fraudulent activity, or if required to do so by law. No refund will be issued upon termination for cause.

16.3 Effect of Termination

Upon termination, your right to use FathomSQL ceases. Sections covering Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law survive termination.

17. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

EU/EEA consumers may bring proceedings in the courts of their country of habitual residence. Mandatory consumer protection laws of your country of residence apply where they provide greater protection than these Terms. You may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

UK consumers may bring proceedings in the courts of England and Wales, Scotland, or Northern Ireland.

US users: Before initiating formal legal proceedings, you agree to contact us at support@durandal.ai and attempt to resolve the dispute informally for at least 30 days.

18. General Provisions

18.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Durandal regarding FathomSQL and supersede all prior understandings.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions continue in full force.

18.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right. Any waiver must be in writing.

18.4 Assignment

We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights or obligations under these Terms without our written consent.

18.5 Force Majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or internet infrastructure failures.

18.6 Language

These Terms are written in English. In the event of any translation, the English version prevails.
